Core Course

MGT 6509  Legal and Ethical Considerations (1.5 credit hours)
This course introduces students to legal and ethics-related considerations in business. Legal considerations will include constitutional law, dispute resolution, torts, and contracts with emphases on the recognition of legal issues and the discovery and application of appropriate legal principles that may assist in resolving these issues. Ethical considerations will focus on identification of parties affected by business decisions, the recognition of ethical issues, and the application of multiple theories of ethical analysis to such issues.

MGT 6202  International Business Law (3 credit hours)
The GATT and the World Trade Organization. The regulation of import competition and unfair trade. Regional trade agreements in North America and European Union. International commercial and sales laws. Imports and customs law. Intellectual property rights and licensing. Labor and employment discrimination law.

MGT 6614  Law for Entrepreneurs (3 credit hours)
This course covers selection of legal entity; public offerings; ownership structure; sales and lease contracts; loan agreements; venture capital negotiations and agreements; debtor-creditor relations; employment law; and intellectual property law.

MGT 6725  Information Security Strategies and Policy (3 credit hours)
Information security vulnerabilities and risks; legal, cost, privacy, and technology constraints; derivation of strategies; technical and procedural means of achieving desired ends.

MGT 6726  Privacy, Technology, Policy, and Law (3 credit hours)
Big data has created numerous challenges in how to build private and public institutions to achieve the benefits of greater information flows while managing the risks to personal privacy and cybersecurity. This course seeks to equip students to understand the multiple perspectives relevant to managing privacy in an organization, both for private-sector companies and for government.

MGT 6799  Legal Issues-Technology Transfer (3 credit hours)
Understand the legal and business issues that a new technology company faces from creation until an IPO. Understand how best to capitalize on the technology developed by your company, including the transfer of technology and the use of technology as a capital asset in connection with venture capital funding and mergers and acquisitions. Learn about the issues that may arise in the course of the growth of your business and when and why such issues may arise.

MGT 8803  Business and Government Regulation (3 credit hours)
This course provides students with an understanding and knowledge of the government and regulatory environment that will enable them to be effective and pro-active managers in an increasingly regulated business world. The course covers the mechanisms by which government regulates business at the federal, state and local levels, including regulation by legislative bodies, executive branches of government, administrative agencies and the courts.; The course also focuses on how businesses influence government processes through government affairs and advocacy programs, joint initiatives including trade association activities, and grass roots efforts. The course concludes with an in-depth look at examples of financial, environmental and competition regulation.

MGT 8803  Corporate Governance (3 credit hours)
This course examines the evolution of the U.S. corporate governance model, the meaning of and distinction between corporate governance and management, why understanding corporate governance is important, and how corporate governance matters are addressed from an internal and external perspective. The primary focus is on U.S. for-profit, public companies and laws that relate to them. The course also identifies best practices in corporate governance, and briefly explores global corporate governance matters.

MGT 8803  Legal Aspects of Managing Intellectual Property (3 credit hours)
This course examines the legal framework that supports and regulates innovation, competition, and business development and growth. The course initially addresses private property and the creation of beneficial information through the law of patents, trademarks, copyrights, and trade secrets. The course then examines the prevention of unfair competition in information property through regulations on the use of innovation and information in order to foster competition and fair business practices. The final topic is information property in business development and management. Areas covered in this topic include the legal rules that support and regulate business development and growth and valuation and management techniques.

MGT 8803  Legal Aspects of Real Estate (3 credit hours)
This course introduces students to legal considerations in real estate transactions and land use planning. Students will become familiar with the nature and scope of real estate, the rights of others in such property and types of ownership. Students will study aspects of transactions for the sale, purchase and lease of real estate, including the retention of agents, the preparation of sales contracts and leases, the procurement of title insurance and financing and the conduct of closings. Additionally, students will become familiar with legal principles governing the regulation of real estate and land use planning, including the rights and duties of landowners and occupants and the impact of zoning and environmental laws.

MGT 8803  Legal Issues in Sports Management (3 credit hours)
This course will cover legal concepts relevant to the management of professional sports teams and athletes, and the administration of college sports programs. These concepts include contract and agency law, tort law including intentional torts and unintentional torts such as negligence, criminal law including gambling and gaming, gender discrimination and disability issues, antitrust and labor law, intellectual property issues including sports trademarks and copyrights, and other law applicable to sports leagues and associations.

MGT 8803  Principles of Commercial Law (3 credit hours)
This course provides students with legal knowledge essential for making informed decisions in a commercial environment. The course offers an in-depth examination of contracts, with an emphasis on contracts for the sale of goods. It also focuses on negotiable instruments and creditor/debtor issues, including secured transactions, consumer protection and bankruptcy.
